JUDGEMENT

(1.) IN this petition under Section 391 to 394 of the Companies Act, 1956 which is duly supported by affidavits, the petitioner -Amalgamating Company seeks sanctioning of the 'Scheme of Amalgamation' (Annexure P -1).

(2.) THE registered office of the petitioner -Amalgamating Company is situated at Gurgaon and the registered office of the Amalgamated Company is situated at New Delhi. Both the aforesaid Companies are registered with the Registrar of Companies, New Delhi.

(3.) MAIN objects of the petitioner - Amalgamating Company and the Amalgamated Company are detailed in their respective Memorandum of Association annexed with the petition at Annexure P -2 and P -4, respectively.
